DIRECTOR INDEPENDENCE STANDARDS

A director serving on MFA's Board of Directors who satisfies all of the following criteria shall be presumed to be independent. Any MFA director that does not currently, or during the past three years, satisfy such criteria shall not be deemed independent.

For purposes of establishing director independence, “material relationships” can include commercial, banking, consulting, legal, accounting, charitable and family relationships with MFA and will be determined, on a case-by-case basis, by MFA's Board of Directors. A director is an "affiliate" of MFA or its subsidiaries if such director serves as a director, executive officer, partner, member, principal or designee of an entity that, directly or indirectly, controls, or is controlled by, or is under common control with, MFA or its subsidiaries. . An "Immediate Family Member" includes a person's spouse, parents, step-parents, children, step-children, siblings, mother- and father-in-law, son- and daughter-in-law, brother- and sister-in-law and anyone (other than domestic employees) who shares such person's home. Immediate Family Members include persons related by blood, marriage or adoption. References to "MFA" in the foregoing criteria shall be deemed to include MFA and its subsidiaries.
